Welcome to Solent Maritime Connect. These Terms of Service ("Terms") govern your access to and use of our website, platform, and services (collectively, the "Services"). By accessing our digital twin port monitoring, automated customs systems, or any other service, you agree to be bound by these Terms. If you're acting on behalf of a company, you confirm you have the authority to bind that entity. Read them carefully—they affect your legal rights.
1. Definitions & Interpretation
"We," "us," "our," and "Solent Maritime Connect" refer to the legal entity providing the Services, with its registered office at Viking House Menzies Road, Whitfield, Dover, England, CT16 2FG (Company Registration Number: 11681688). "You" and "your" mean the individual or entity using the Services. "Platform" means our web-based interface for maritime logistics technology. "Client Data" means any information you upload, transmit, or process through our Services. "GDPR" means the UK General Data Protection Regulation. A reference to a statute includes all amendments—pretty standard stuff.
Headings are for convenience only and don't affect interpretation. If any part of these Terms is held to be invalid, the rest remains in full force. We drafted these in English; any translated version is for reference only.
2. Account Registration & Security
To use certain Services—like our data integration dashboards—you must register an account. You agree to provide accurate, current, and complete information (we’ve found that about 98.3% of support issues stem from outdated details). You are responsible for safeguarding your password and for all activities under your account. Notify us immediately of any unauthorised use. We reserve the right to suspend or terminate accounts that provide false information or are used for fraudulent purposes.
You must be at least 18 years old. By registering, you confirm you have the legal capacity to enter into a contract. Multiple users from a single organisation? The account administrator is liable for all their actions. It’s a big responsibility.
3. Description of Services
Solent Maritime Connect provides technology solutions for the maritime logistics sector. This includes, but isn't limited to:
- Digital twin simulation and port monitoring software.
- Automated customs declaration and clearance systems.
- Maritime data integration and API services.
- Logistics coordination and fleet management tools.
- Analytics and reporting for port efficiency.
We continuously develop and improve our Services. Consequently, features may be added, modified, or removed. We don't guarantee that any specific functionality will be available indefinitely—technology moves fast. The Services are provided "as is" and "as available," though we strive for 99.5% uptime. Service descriptions on our website form part of these Terms.
4. Acceptable Use & Restrictions
You agree not to misuse the Services. What does that mean, exactly? You shall not:
- Reverse engineer, decompile, or attempt to extract the source code of our software (unless permitted by law).
- Use the Services to process data for which you have no lawful basis.
- Upload malware, engage in denial-of-service attacks, or scrape data systematically.
- Use the platform in a way that could damage, disable, or impair its operation.
- Violate any applicable law, including maritime, export control, or data protection regulations.
We monitor for abuse. A breach of this section gives us the right to immediately suspend your access—no refunds. Think of it as the digital equivalent of being escorted from the port.
5. Intellectual Property Rights
We own all right, title, and interest in the Services, our platform, and all related software and documentation. That includes patents, copyrights, trademarks, and trade secrets. You're granted a limited, non-exclusive, non-transferable license to use the Services solely for your internal business operations. This license terminates when your agreement with us ends.
You retain ownership of your Client Data. By submitting it, you grant us a worldwide license to host, process, and transmit that data solely to provide the Services to you. You’re responsible for ensuring you have the rights to all data you provide. Found a bug? We welcome feedback, but note that any suggestions you provide become our property without obligation.
6. Data Protection & GDPR
We act as a data processor for the personal data you control and process via our Services. Our Data Processing Addendum (DPA), which incorporates Standard Contractual Clauses where required, is part of these Terms. You can request it from support@Solent-Maritime-Connect.com. You warrant that you have a lawful basis (under GDPR and other laws) for all personal data you instruct us to process.
We implement appropriate technical measures—encryption in transit, access controls, regular audits—to protect data. We only engage sub-processors (like cloud hosting providers) that meet our security standards. In the event of a personal data breach, we will notify you without undue delay, as required by law. 7. Fees, Payment & Taxes
Fees for paid subscription plans are specified on our website or in your order form. You agree to pay all charges on time, in GBP. Late payments may incur interest at 8% per annum above the Bank of England's base rate. All fees are exclusive of VAT and other taxes—you're responsible for those.
We use secure third-party payment processors. You authorise us to charge the provided payment method. Fees are typically billed monthly or annually in advance. Want to cancel? You must do so before the next billing cycle to avoid being charged. Refunds are issued only as required by law or at our sole discretion.
8. Limitation of Liability
This is important. To the fullest extent permitted by law:
- We are not liable for any indirect, consequential, or special damages (like lost profits or business interruption) arising from your use of the Services.
- Our total aggregate liability to you for all claims in any calendar year shall not exceed 125% of the fees you paid to us in the 12 months preceding the event giving rise to the claim.
- We are not liable for delays or failures caused by events outside our reasonable control—acts of God, port strikes, telecom failures, you get the idea.
Nothing in these Terms excludes or limits liability for death, personal injury, fraud, or any other liability that cannot be limited by law. You agree to indemnify us against claims arising from your breach of these Terms or your misuse of the Services.
9. Term & Termination
These Terms remain in effect while you use the Services. For subscription plans, the term is as specified in your plan. Either party may terminate for material breach if the other party fails to cure it within 30 days of notice. We may terminate immediately for breaches of Acceptable Use or non-payment.
Upon termination, your right to access the Services ceases. We will, upon request, provide you with a copy of your Client Data in a standard format for up to 60 days after termination. After that, we may delete it—so back it up. Sections on Intellectual Property, Liability, Confidentiality, and this survival clause will, well, survive.
10. Governing Law & Disputes
These Terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales. We encourage you to contact us first at support@Solent-Maritime-Connect.com to resolve any issue informally. If we can't resolve it, we both agree to attempt mediation before litigation—it’s cheaper and faster for everyone.
The United Nations Convention on Contracts for the International Sale of Goods does not apply. If we don't enforce a right, it doesn't mean we waive it. You may not assign your rights under these Terms without our written consent. We may assign them to a successor in a merger or acquisition.
